2. Acceptance of Terms

By using our website or engaging with WebeDigital for any service, you confirm that you have read, understood, and agreed to these Terms & Conditions.

If you are using our services on behalf of a company, brand, organisation, or third party, you confirm that you have the authority to accept these terms on their behalf.

If you do not agree with these terms, you should not use our website or services.

The exact services, deliverables, timelines, pricing, and scope will be defined in the relevant proposal, quotation, invoice, agreement, email confirmation, or written communication.

4. Proposal, Scope of Work, and Approvals

All projects and services are governed by the approved scope of work.

The scope may include details such as:

  • Services to be provided
  • Number of deliverables
  • Project timeline
  • Revisions included
  • Client responsibilities
  • Payment terms
  • Platform requirements
  • Exclusions
  • Special conditions

Any work not clearly mentioned in the approved scope will be treated as additional work and may be charged separately.

Verbal discussions, informal messages, references, examples, or assumptions will not be considered part of the final scope unless confirmed in writing by WebeDigital.

5. Client Responsibilities

To ensure smooth project delivery, the client agrees to provide accurate, complete, and timely information, access, feedback, approvals, and payments.

Client responsibilities may include:

  • Sharing correct business details
  • Providing website, hosting, domain, CMS, analytics, ad account, or social media access when required
  • Providing brand assets, images, logos, product details, service details, content, or other necessary material
  • Reviewing and approving work on time
  • Giving clear feedback
  • Making payments as agreed
  • Ensuring that the content, claims, images, trademarks, and materials provided by the client are legally usable
  • Informing WebeDigital about any legal, industry-specific, medical, financial, advertising, or compliance restrictions related to the client’s business

Delays in sharing required information, access, approvals, content, or payment may result in project delays. WebeDigital will not be responsible for delays caused by the client or by third-party platforms.

6. Timelines and Delivery

Project timelines are estimated based on the scope of work, availability of client inputs, platform access, revision cycles, technical dependencies, and third-party systems.

WebeDigital will make reasonable efforts to complete work within the discussed timeline. However, timelines may change due to:

  • Delay in client feedback or approval
  • Delay in providing required access or content
  • Changes in project scope
  • Additional revision requests
  • Technical issues
  • Hosting, plugin, domain, or platform-related problems
  • Third-party platform downtime or restrictions
  • Unforeseen business or operational reasons

Unless specifically agreed in writing, timelines are estimates and not guaranteed deadlines.

7. Payments and Billing

Payment terms will be mentioned in the relevant proposal, quotation, invoice, agreement, or written communication.

Depending on the project, WebeDigital may require:

  • Advance payment before starting work
  • Milestone-based payments
  • Monthly retainers
  • Full payment before final delivery
  • Renewal payments for ongoing services
  • Additional payment for extra work or scope changes

Work may be paused, delayed, withheld, or discontinued if payments are not made on time.

WebeDigital reserves the right to not begin, continue, publish, transfer, or deliver final work until the agreed payment has been received.

Any pending dues must be cleared before final files, access, reports, website transfer, publishing, or handover, unless otherwise agreed in writing.

8. Late Payments

If a payment is delayed, WebeDigital may pause the project, stop ongoing services, remove access to unpaid deliverables, delay reports, or withhold final delivery until the outstanding amount is cleared.

For ongoing monthly services, failure to pay on time may result in suspension of work, campaign pauses, reporting delays, or termination of services.

WebeDigital will not be responsible for business loss, ranking changes, ad interruptions, website issues, campaign disruption, missed opportunities, or performance impact caused by delayed or missed payments.

9. Revisions and Change Requests

Revisions are provided only as per the approved scope, proposal, or package.

A revision means reasonable modification or improvement to the agreed deliverable. It does not include a complete change in direction, new concept, new page, new design style, new strategy, additional feature, additional platform, or fresh deliverable unless agreed separately.

Additional revisions, major changes, new requirements, or work outside the approved scope may be charged separately.

WebeDigital reserves the right to decide whether a request is a revision or an additional scope item.

10. Refund and Cancellation Policy

Payments made to WebeDigital are generally non-refundable once work has started, resources have been allocated, strategy has been prepared, service time has been booked, or deliverables have been created.

Refunds will not be provided for:

  • Completed work
  • Approved work
  • Delivered work
  • Strategy, consultation, planning, or research already completed
  • Time spent on project communication or coordination
  • Work paused due to client delay
  • Work affected by third-party platform issues
  • Client change of mind
  • Client business closure or internal decision changes
  • Dissatisfaction caused by expectations not included in the approved scope
  • SEO, ads, traffic, leads, ranking, sales, or revenue outcomes

If a project is cancelled before work begins, WebeDigital may review the situation and decide whether any partial refund is applicable.

Any refund, credit, or adjustment will be at WebeDigital’s discretion unless otherwise agreed in writing.

For monthly retainers, once the billing cycle has started, payments are generally non-refundable.

11. SEO Disclaimer

WebeDigital may provide SEO services such as keyword research, on-page SEO, technical SEO suggestions, content strategy, blog planning, website optimisation, internal linking, local SEO, and performance tracking.

However, SEO results depend on many factors outside our control, including search engine algorithms, competition, website history, content quality, technical health, backlinks, domain authority, industry difficulty, user behaviour, and changes made by the client or third parties.

WebeDigital does not guarantee:

  • Specific keyword rankings
  • First-page ranking
  • Fixed traffic growth
  • Specific lead volume
  • Specific sales numbers
  • Exact timeline for ranking improvement
  • Permanent ranking positions
  • Recovery from penalties or algorithm updates

SEO is a long-term process, and any projections, audits, estimates, or strategies are based on professional judgement, available data, and best-effort execution.

12. Paid Ads Disclaimer

WebeDigital may provide paid advertising services for platforms such as Google Ads, Meta Ads, or other advertising channels.

Advertising performance depends on several factors, including budget, audience, offer, landing page, product pricing, competition, industry demand, creative quality, tracking setup, platform learning, customer behaviour, and market conditions.

WebeDigital does not guarantee:

  • Specific return on ad spend
  • Specific cost per lead
  • Specific number of sales
  • Specific revenue
  • Ad approval
  • Account stability
  • Continuous campaign delivery
  • Fixed performance results

Ad platforms may reject, restrict, suspend, disable, or limit ads, accounts, pages, websites, or campaigns based on their own policies. WebeDigital is not responsible for such platform decisions.

Ad spend is separate from WebeDigital’s service fee unless specifically mentioned in writing.

13. Social Media and Content Disclaimer

WebeDigital may help with social media strategy, content planning, design, captions, reels ideas, posting support, or campaign direction.

However, social media performance depends on audience behaviour, platform algorithms, content format, consistency, trend timing, product-market fit, brand trust, offer strength, and many other factors.

WebeDigital does not guarantee viral reach, follower growth, engagement, leads, sales, or conversions from social media content.

14. Website Design and Development Disclaimer

For website design and development projects, WebeDigital will work as per the approved scope, platform, design direction, features, pages, and agreed deliverables.

Website performance may depend on hosting, plugins, themes, third-party apps, server quality, image size, code quality from previous developers, client-side changes, platform updates, and external tools.

WebeDigital is not responsible for issues caused by:

  • Hosting downtime
  • Domain expiry
  • Third-party plugins or apps
  • Platform updates
  • Malware or hacking not caused by WebeDigital
  • Client-side edits
  • Previous developer work
  • Unauthorised access
  • Third-party integrations
  • Browser, device, or operating system changes
  • Payment gateway or shipping provider errors
  • Shopify, WordPress, Google, Meta, or other platform-level issues

Maintenance, bug fixing, speed optimisation, security support, backups, and updates are included only if clearly mentioned in the approved scope.

15. Third-Party Platforms, Tools, and Services

WebeDigital may use or work with third-party platforms such as Google, Meta, Shopify, WordPress, WooCommerce, hosting providers, domain providers, payment gateways, email tools, analytics tools, plugins, apps, CRMs, project management tools, and other software providers.

These third-party platforms operate under their own terms, policies, pricing, technical systems, and decisions.

WebeDigital is not responsible for:

  • Platform downtime
  • Policy changes
  • Account suspension
  • Ad rejection
  • Plugin failure
  • Data loss
  • Security breach on third-party platforms
  • Payment gateway issues
  • Hosting issues
  • Domain expiry
  • Changes in pricing
  • API restrictions
  • Feature removal
  • Tracking errors caused by external tools

Any third-party costs, including hosting, domains, themes, plugins, apps, ad spend, stock images, premium tools, subscriptions, and software charges, will be paid by the client unless otherwise agreed in writing.

16. Client Content, Claims, and Legal Responsibility

The client is responsible for ensuring that all information, content, images, claims, product details, service descriptions, testimonials, certifications, legal statements, pricing, offers, guarantees, and business details shared with WebeDigital are accurate, lawful, and not misleading.

WebeDigital is not responsible for legal issues arising from client-provided content, false claims, copyright infringement, trademark violations, misleading advertising, regulatory non-compliance, or industry-specific restrictions that were not disclosed to us.

The client agrees to review and approve all final content, designs, campaigns, pages, and materials before publishing wherever approval is required.

17. Intellectual Property Ownership

After full payment has been received, the client may own the final approved deliverables created specifically for them, unless otherwise stated in the proposal or agreement.

Final deliverables may include approved website pages, final designs, published content, final ad creatives, or other agreed assets.

However, WebeDigital retains ownership of its internal systems, ideas, methods, templates, frameworks, processes, strategies, research formats, draft concepts, source files, working files, unused concepts, planning documents, training material, proprietary knowledge, and internal tools unless specifically transferred in writing.

Raw files, editable files, source files, strategy documents, ad account structures, content calendars, design working files, and internal planning documents are not included unless clearly mentioned in the approved scope.

18. Portfolio and Case Study Rights

Unless restricted by a written NDA or prior written agreement, WebeDigital may display completed work, project results, screenshots, creatives, website links, brand names, testimonials, or case study references in its portfolio, website, social media, proposals, or marketing material.

If a client does not want their work to be displayed publicly, they must inform WebeDigital in writing before the project begins.

WebeDigital will not intentionally disclose confidential business information in public case studies without appropriate care.

19. Confidentiality

Both WebeDigital and the client agree to handle confidential information responsibly.

Confidential information may include login details, business plans, pricing, customer data, marketing strategy, financial information, private documents, unpublished designs, and project-related internal communication.

Confidentiality obligations do not apply to information that is publicly available, already known, independently developed, required by law to be disclosed, or shared with permission.

20. Communication and Approvals

Official project communication may happen through email, WhatsApp, calls, meetings, documents, project management tools, or any other agreed communication channel.

The client agrees that approvals given through email, WhatsApp, message, call confirmation, payment, or written instruction may be treated as valid approval for the relevant work.

Once work is approved, published, delivered, or moved to the next stage, future changes may be treated as additional work.

21. Limitation of Liability

To the maximum extent permitted by applicable law, WebeDigital will not be liable for indirect, incidental, special, consequential, or business losses, including but not limited to loss of revenue, loss of profit, loss of leads, loss of traffic, loss of ranking, loss of data, loss of goodwill, business interruption, ad account issues, website downtime, or third-party platform problems.

In any case, WebeDigital’s total liability for any claim related to a service will be limited to the amount paid by the client to WebeDigital for the specific service giving rise to the claim.

22. Indemnity

The client agrees to indemnify and hold WebeDigital, its team, partners, consultants, and service providers harmless from any claims, losses, damages, penalties, costs, or expenses arising from:

  • Client-provided content
  • False or misleading claims
  • Copyright or trademark violations
  • Unlawful business practices
  • Breach of these terms
  • Misuse of delivered work
  • Non-compliance with applicable laws
  • Third-party claims related to the client’s business, products, services, or advertising

23. Termination of Services

Either WebeDigital or the client may terminate services by providing written notice, unless a separate agreement states otherwise.

Upon termination:

  • The client must clear all pending payments
  • Work completed till the termination date will be billed
  • WebeDigital may stop all ongoing services
  • Final delivery may be withheld until dues are cleared
  • Advance payments may not be refundable if work has started or resources have been allocated
  • Third-party costs already incurred will remain payable by the client

WebeDigital may terminate or pause services immediately if the client engages in unlawful activity, abusive behaviour, non-payment, repeated delays, misuse of work, violation of platform policies, or breach of these terms.

24. No Professional Legal, Financial, or Regulatory Advice

WebeDigital provides digital marketing, web, content, design, advertising, and strategy services.

Any suggestions related to website content, marketing claims, privacy pages, terms pages, disclaimers, advertising policies, or business communication are general in nature and should not be treated as legal, financial, tax, or regulatory advice.

Clients should consult qualified professionals for legal, financial, tax, or compliance-specific matters.

25. Force Majeure

WebeDigital will not be responsible for delays or failure to perform due to events beyond our reasonable control, including natural disasters, internet outages, hosting failures, cyberattacks, platform downtime, government restrictions, strikes, illness, power failures, technical breakdowns, third-party service issues, or other unforeseen events.

26. Changes to Terms

WebeDigital may update these Terms & Conditions from time to time.

The latest version will be posted on this page with the updated date. Continued use of our website or services after changes are published means you accept the updated terms.

27. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising from the use of our website or services shall be subject to the jurisdiction of the courts located in Kota, Rajasthan, India, unless otherwise agreed in writing.
